What steps are taken for renewing a company's commercial register? (All types of companies)

The following steps are completed electronically by signing in to the Corporate Services portal:

What steps should be taken to convert a company (all types of companies) into an establishment?


Terms of Service:

1- Submit a resolution to the partners to transform the entity from a company to an establishment through the Partners Decisions System and publish the resolution.

2- Must be at least 18 years old.

3- Not to be a government employee.

4- The capital must be at least 5,000 riyals.

 

Steps to apply for the service:

 

1- The company or its legal agent or authorized representative must visit one of the Ministry of Commerce's branches.

2- Verify the legality of all required documents (conditions) as well as the powers of attorney or authorization attested by the Chamber of Commerce.

3- Pay the commercial register conversion fees.

4- After paying the fees, the commercial register is sent through the Tajir System after selecting Commercial Registration Certificate option.​


What are the steps to set up a professional company?

Terms of Service:

1- The licensed Saudi partner's share of the professional company's capital cannot be less than (25%).

2- The percentage of licensed partners cannot be less than (70 percent ).

3- If the profession requires it, the approval of the relevant authority.

4- Each partner must have a valid license to practice the profession issued by the appropriate authorities.

5- Include the partners' national identities.

6- If the entity has legal personality, the articles of association or incorporation must be attached.

7- The guardianship deed or the guardian's ID card must be attached in the case of minors.

4- Depending on the circumstances, authentication is performed through the Absher platform or by a ministry employee.

5- If the authentication is performed by a "Ministry employee," all partners or the legal agent authorized to sign for authentication must be present.

6- Following documentation, fees are paid for starting the company, and the articles of association are electronically published.

7- Obtain the professional record electronically rather than visiting a Ministry branch.


Who are the authorized persons to set up a professional company?

Article 5 of the Professional Companies Law states:

 

1- Individuals licensed to practice one free profession may form a professional company among themselves in any of the system-specified forms.

2- A person licensed to practice one free profession may form a limited liability company to practice his profession through it. If he is licensed to practice more than one free profession, he may practice all or some of them through the company if the conditions and controls specified by the regulation are met.

3- A joint professional company may be formed by one or more licensees authorized to practice a free profession and non-Saudi professional firms.

4- It is permissible for it to participate in the professional company, except for the partnership company and the limited partnership company, in the capacity of the general partner, a natural person who is not licensed to practice the profession or consulting professions in its activity, or a person with legal capacity.​


Is there a set percentage for each professional company partner?

​Yes, the percentage of the licensed Saudi partner must not be less than (25 percent) of the professional company's capital, and the percentage of the licensed partners must not be less than (25 percent) (70 percent ).​

How is a company's commercial register translated into English?

To translate the commercial register into English, make certain that:

 

Commercial registers are valid.

- The commercial register activity should adhere to the ISIC4 national classification of economic activities.

How are articles of association modification forms obtained as a result of a court ruling?

Service steps to obtain articles of association modification forms:

 

1- Entering the old partners' decision-making system.

2- Sign in to your account using your username and password.

3- From the old partners' decisions system, select the new request option.

4- Collect the form.​


What is the procedure for amending the professional company articles of association in accordance with the new royal decree?

​Companies that were established electronically can be modified electronically, whereas companies that were established manually must use the old partners decisions system.​

There are two ways to reduce capital:

 

First method: Presenting a partner's decision (reducing capital) and waiting 60 days before submitting an amended articles of associationto the company with the reduction that occurred.

 

Second method: Preparing a decision from the partners on the company's paper that there are no debts on the company, whether short or long-term, and that they are joint in case any debts are discovered, as well as their pledge to bear all responsibility when they appear, and having it stamped by a legal accounting office / amended articles of association.​

What is the mechanism and conditions for a company merger?

Company formation requirements:

 

Submitting a partner decision request for the merging / merging company - General Competition Authority approval Publication of the two decisions

What is the procedure for converting a limited company to a joint-stock company?

Service conditions and requirements:

 

1- Completing the partners' decision to convert the company from a limited liability company to a closed joint stock company.

2- Complete the draft articles of association for joint stock companies.

3- Attach the original capital deposit certificate, if it is greater than (500) thousand.

4- Partners' approval via text messages for the transfer of the company's entity.

5- The commercial register must be valid for a set period of time.

 

 

Steps to obtaining the service:

 

1- Access the service through the website of the joint stock company incorporation system.

2- Submit a request to transfer the legal entity of the company and send it for audit.

3- The decision to transfer the company's entity must be documented after it has been approved by the auditor.

4- The electronic system transfers the customer to the association system to submit a request for a transformational association articles of association.

5- Following the assembly, the client submits a request for the second ministerial decision and the commercial register.​


What is the process of company liquidation?

If the company has not engaged in the activity, a signed and certified partners' decision must be submitted.

 

If the commercial activity was carried out and then discontinued, the following information must be provided:

 

1- Partners' decision

2- Approval from the Zakat and Income Authority

If the liquidation is for a company that is still in business, the following information must be available:

 

First stage: 1- The partners' decision to liquidate after signing "according to the approved form No. (3)."

2- Publication of the decision "in accordance with the approved form No. (4)," signed and stamped by the company's liquidator appointed by the partners' decision.

3- A recent financial center with a date of liquidation approved by a certified public accountant licensed to work in the Kingdom.

 

(If all requirements are met, the procedure takes one working day.)

 

 

The second stage:

1- A certificate from the Department of Zakat and Income Tax stating that there are no dues and no objections to the company's liquidation.

2- A final account of the liquidation demonstrating that there are no obligations on the company and that it is signed by all partners and certified.

3- Ministry of Investment approval for liquidation investment (in the event that the company is a foreign or mixed company or a foreign branch).

4- The month of the liquidation's expiry, according to the approved form No (5)​

​The company articles of association data must be updated in order to benefit from e-partner decisions and all electronic services.​

What is the mechanism for documenting the articles of incorporation or the decisions of the partners?


In the event that the business requirements are available, the documentation will be done through the Absher platform, and in the event that it is not available, the documentation will be done at the authorized Ministry of Commerce or the notary public.​

What is the procedure for incorporating an existing name into an organization?

1- Without reserving a name, the customer can issue the register with the same trade name as the main register.

2- If the activity differs from what is already registered in the main register, the customer must reserve a trade name for the new activity.​
