An electronic service provided by the Ministry of Commerce through the Saudi Business Center platform, which enables beneficiaries to electronically amend their company's Articles of Association. This can be done by amending any article of the contract or updating it to comply with the new legislative system for companies, as stipulated by Royal Decree No. (M/132), dated 01/12/1443 AH, without the necessity of visiting the Saudi Business Center or Ministry branches.

Access the platform: Via the unified national access or the investor account through the Saudi Business Center platform.
Select the service: From "Electronic Services" > "Amendment to the Articles of Association/Bylaws".
Start the service: Agree to the terms of service, then click "Apply for the service".
Amendment to the Articles of Association/Bylaws: Enter the establishment's unified national number.

A valid and active commercial registration is required.
In the event that the company is foreign or mixed, the investment license must be submitted.
An extraordinary general assembly resolution or a shareholders' resolution must be provided if the company is a joint-stock company or a simplified joint-stock company.

The following must be verified in case the type of the company is (Professional): Ensure the quorum is maintained in the event of amending the board of managers or management - The partner must be licensed if the amendment involves adding a professional partner.
The following must be verified in case the type of company is a limited partnership or a general partnership: A license or initial approval from the Saudi Central Bank must be obtained if the nature of the business activity so requires - The investment license must be amended, if required - The managers must not be government employees - The applicant must be a manager of the company or electronically authorized by the company.
