Incorporation of a simplified joint stock company X Description Companies Business sector Proactive An electronic service provided by the Ministry of Commerce through the Saudi Business Center platform, which allows beneficiaries to start practicing commercial activity and establish a simplified joint-stock company, established by one or more persons of natural or legal status, and its capital is divided into tradable shares and the provisions of joint-stock companies apply to it unless there is a special text, and through the service the following is done:Recording of the commercial registration and the articles of association / bylaws.Publication of the contract in "A'mali" newspaper.Opening a business file with the Ministry of Human Resources and Social Development.Registration with the Zakat, Tax, and Customs Authority.Registration with Social Insurance.Subscription to the Official Business Address with Saudi Post | SPL.Subscription to the Chamber of Commerce by location.Electronically, without the need to visit the branch of the Saudi Business Center or the Ministry branches.Note: When performing the service and printing the CR, an identification number for the facility is obtained from the partner government agencies mentioned above, which you will need in the future automatically, Service level agreement Steps Conditions Required Documents Access the platform: Via the National Unified Access or the investor account through the Saudi Business Center platform. Select the service: From "Electronic Services" > "Starting a Business" > "Establishing a Company." Start the service: Specify the type and duration of the registration and the company's headquarters, agree to the terms, and then click "Apply for Service." Enter the establishment data: Company activities and purposes, including licensing data, if applicable. - Specify e-commerce (optional). - Add partners/founders and their information, and verify their mobile phone and email addresses. - Specify the trade name and fiscal year, and enter contact information and address. Company and capital data: Enter the company's duration and the decision to open branches. - Specify the type and value of capital and its distribution, with the possibility of entering in-kind assets. - Distribute profits and losses, and determine the profit-retention ratio (if applicable). - Manage share data if the company is a joint-stock or simplified joint-stock company. Company management: Select the administrative structure and appoint managers. - Determine the board's operating method and assign powers. Company contract data: Partner resolutions, partner notifications, articles of association (addition or amendment). Review and submit the application: Review the application summary, create a draft contract, and submit the application after review. Party approval: The parties approve the application via the link sent to them, using the verification code. Payment and completion of the application: • Pay by card or SADAD. • Review the application status and print the registration information. • Complete registration with the relevant government agencies. If one of the founders is a company, the bylaws or the articles of association must be submitted. In the event that one of the partners is a juridical party, the commercial registration must neither be written off, suspended or inactive. The age must not be less than 18 years. In the event that the partner is a minor under the age of puberty, the deed of guardianship must be submitted. The partners must not be government employees. The following must be verified in case the type of the company is (Professional): A valid professional license must be provided for the entities and professional individuals founding the company - At least one licensed shareholder must be present among the shareholders for each profession related to the practice of the professional activities of the company - The percentage of licensed Saudi shareholders in the mixed company must not be less than 25% of the shares of the company's capital - The percentage of licensed shareholders must not be less than 70% of the company's capital shares. A legal document must be provided if one of the founders is a government entity, with adherence to the rules for dealing with public entity requests, a non-governmental organization, a charitable association, or an endowment, granting them the right to establish or participate in a company. A license from the Saudi Central Bank or the Insurance Authority must be provided if the nature of the business activity so requires. A certified appraiser’s report must be provided if the contribution is in-kind and its value exceeds half of the company’s capital. A draft of the bylaws must be submitted.
