What are the requirements for registering commercial agency contracts?

1. Non-Saudis, whether natural or juridical persons, are prohibited from acting as commercial agents within the Kingdom of Saudi Arabia. Saudi companies undertaking commercial agency activities must have entirely Saudi capital and Saudi members on their boards of directors and those authorized to sign on their behalf must be Saudis. 

2. The commercial agency contract must be written and executed with the principal - the parent producer (manufacturer) - in its original country or through its authorized representative in that country. 

3. The applicant must possess a commercial registry aligned with the agency's activities. 

4. The commercial agency or distribution contract must be attested by the competent authorities: 
- If both parties to the contract are Saudi, the contract must be attested by the Saudi Chamber of Commerce for both parties. 
- If the principal is foreign, the original contract must be attested by the following competent authorities: (attestation by the Embassy of The Kingdom of Saudi Arabia, the Ministry of Foreign Affairs of the principal's country, the Saudi Ministry of Foreign Affairs, and the Saudi Chamber of Commerce, or through the Apostille Agreement in the principal's country.) 

5. The commercial agency or distribution agreement must include the following data: 
- Name of the commercial agent or distributor. 
- Address of the agent or distributor. 
- Name and nationality of the principal without symbols. 
- Capacity of the parties and the nationality of each. 
- Principal's main address. 
- Commercial registration number granting the applicant the right to practice the agency. 
- Signatures of both parties on the contract. 
- Name of the person authorized to manage the establishment or sign on its behalf. 
- Certified Arabic translation of the contract and any other documents issued in a foreign language. 
- Subject matter of the contract (agency activity), its region, and the works, services, and goods it encompasses, as well as a statement of the types and names of the goods and services listed in the contract. 
- Duration of the agency and how it may be renewed. 
- How the agency may be terminated or expired. 
- Agency or distribution region and its duration.



What documents are required for renewing a commercial agency registration?

​- If the principal is foreign, a new or updated letter or contract from the foreign principal, certified by the (Ministry of Foreign Affairs of the principal's country and the Embassy of The Kingdom of Saudi Arabia in that country or Apostille Agreement) stating the renewal of the contract in accordance with the terms of the contract between the parties must be submitted. 

- If the principal is Saudi, a letter from the Saudi principal or a new or updated contract stating the renewal of the contract in accordance with the terms of the contract between the parties, certified by the (Saudi Chamber of Commerce) must be submitted.



What documents are required for amending a commercial agency?

​- If the principal is foreign, a letter from the foreign principal stating the amendment to the contract in accordance with the terms of the contract between the parties, specifying the amendment and certified by the (Ministry of Foreign Affairs of the principal's country and the Embassy of The Kingdom of Saudi Arabia in that country or Apostille Agreement) 

- If the principal is Saudi, a letter from the Saudi principal stating the amendment to the contract in accordance with the terms of the contract between the parties, specifying the amendment and certified by the (Saudi Chamber of Commerce).​

What documents are required for writing off a commercial agency registration for the agent?

​A letter printed on the Saudi agent's letterhead stating the writing off of the commercial agency and specifying the following: (name of the principal (optional), agency number (mandatory), date of registration of the commercial agency (optional)). This letter must be certified by the (Saudi Chamber of Commerce).​

Can the agency name be added to the commercial register?

​No, the agency name cannot be added to the commercial register.​

How to apply for the establishment of a commercial agency?

​To obtain the service of registering a commercial agency, follow these steps: 

1- Log in to the Ministry of Commerce website. 

2- Select Electronic services– Choose the Application for registering a Commercial Agency service and click on the Get the service icon. 3- Click on the Start Service icon for the application for registering a commercial agency. 

4- Log in to the account (username and password) or via national access. 

5- Choose to create a commercial agency and click on the (Create icon) shown below. 

6- Fill in the required data and attach the necessary documents. 

7- Acknowledgement and pledge and click on the "Send" icon. The request is studied, reviewed and approved by the ministry employee. 

8- After the employee approvs the request, a notification is sent by text message including the acceptance of the request and the payment number. 

9- Print the commercial agency registration certificate electronically after paying the fees.

How to apply for the renewal of a commercial agency?

​To obtain the service of renewing a commercial agency registration, follow these steps: 

1- Log in to the Ministry of Commerce website. 

2- Select Electronic services – Choose the Application for Renewal of Commercial Agency service and click on the Get the service icon 

3- Click on the Start Service icon for the application for renewing a commercial agency. 

4- Log in to the account (username and password) or via national access. 

5- Choose to renew a commercial agency and click on (Renew icon) shown below. 

6- Fill in the required data and attach the necessary documents. 

7- Acknowledgement and pledge and click on the "Send" icon. The request is studied, reviewed and approved by the ministry employee. 

8- After the employee approvs the request, a notification is sent by text message including the acceptance of the request and the payment number. 

9- Print the commercial agency renewal certificate electronically.

How to apply for amending a commercial agency?

​To obtain the service of amending a commercial agency registration, follow these steps: 

1- Log in to the Ministry of Commerce website. 

2- Select Electronic services – Choose the Application for amending a commercial agency service and click on the Get the service icon. 3- Click on the Start Service icon for the application for amending a commercial agency. 

4- Log in to the account (username and password) or via national access. 

5- Choose to modify a commercial agency and click on (modify icon) shown below. 

6- Fill in the required data and attach the necessary documents. 

7- Acknowledgement and pledge and click on the "Send" icon. The request is studied, reviewed and approved by the ministry employee. 

8- After the employee approvs the request, a notification is sent by text message including the acceptance of the request and the payment number. 

9- Print a commercial agency modification certificate electronically.

How to apply for writing off a commercial agency?

​To obtain the service of writing off a commercial agency registration, follow these steps: 

1- Log in to the Ministry of Commerce website. 

2- Select Electronic services – Choose the Application for writing off a commercial agency service and click on the Get the service icon. 3- Click on the Start Service icon for the application for writing off a commercial agency. 

4- Log in to the account (username and password) or via national access. 

5- Choose to cancel a commercial agency and click on (cancel icon) shown below. 

6- Fill in the required data and attach the necessary documents. 

7- Acknowledgement and pledge and click on the "Send" icon. The request is studied, reviewed and approved by the ministry employee. 

8- After the employee approvs the request, a notification is sent by text message including the acceptance of the request and the payment number. 

9- Print a commercial agency cancellation certificate electronically.

How can I obtain a printed copy of the commercial agency registration certificate?

2. Select Electronic services –commercial agencies services. 

3. Log in to the account (username and password) or via national access. 

4. Click on the "My Agencies" icon. 

5. Choose the agency for which you wish to print the registration certificate and click on the "Print" icon to obtain an electronic print of the commercial agency registration certificate.​
