1. Non-Saudis, whether natural or juridical persons, are prohibited from acting as commercial agents within the Kingdom of Saudi Arabia. Saudi companies undertaking commercial agency activities must have entirely Saudi capital and Saudi members on their boards of directors and those authorized to sign on their behalf must be Saudis.
2. The commercial agency contract must be written and executed with the principal - the parent producer (manufacturer) - in its original country or through its authorized representative in that country.
3. The applicant must possess a commercial registry aligned with the agency's activities.
4. The commercial agency or distribution contract must be attested by the competent authorities:
- If both parties to the contract are Saudi, the contract must be attested by the Saudi Chamber of Commerce for both parties.
- If the principal is foreign, the original contract must be attested by the following competent authorities: (attestation by the Embassy of The Kingdom of Saudi Arabia, the Ministry of Foreign Affairs of the principal's country, the Saudi Ministry of Foreign Affairs, and the Saudi Chamber of Commerce, or through the Apostille Agreement in the principal's country.)
5. The commercial agency or distribution agreement must include the following data:
- Name of the commercial agent or distributor.
- Address of the agent or distributor.
- Name and nationality of the principal without symbols.
- Capacity of the parties and the nationality of each.
- Principal's main address.
- Commercial registration number granting the applicant the right to practice the agency.
- Signatures of both parties on the contract.
- Name of the person authorized to manage the establishment or sign on its behalf.
- Certified Arabic translation of the contract and any other documents issued in a foreign language.
- Subject matter of the contract (agency activity), its region, and the works, services, and goods it encompasses, as well as a statement of the types and names of the goods and services listed in the contract.
- Duration of the agency and how it may be renewed.
- How the agency may be terminated or expired.
- Agency or distribution region and its duration.
